Basic information

The subject of the sale is a 100% stake in two closely linked Slovak companies focused on the complete supply of personal protective equipment for electrical substations and on its regular statutory testing. The trading business has been developing since 1993, as a limited liability company since 2010, and builds on long-standing professional experience in the energy sector. The second company was established in 2025 to concentrate the testing activity, so today both companies operate as a single business in which each one needs the other.

The trading company supplies protective and working equipment for low, high and extra-high voltage, for example insulating and switching sticks, short-circuiting and earthing sets, voltage detectors, discharge devices, rescue hooks, dielectric gloves, boots and mats, as well as inspection and measuring instruments. The portfolio comprises several hundred items from renowned European manufacturers with whom the company has cooperated for many years. The equipment is delivered with certificates and test reports in line with applicable standards, so the customer obtains complete equipment for an electrical substation from a single supplier.

The key value of the business is recurring revenue from legally mandatory testing. Protective equipment used in electrical substations must undergo periodic tests at regular intervals, typically once every two years, so the equipment sold by the trading company comes back for testing to the group’s own testing lab. Both companies hold an authorisation to test protective equipment for electrical substations, the testing company employs a technician with the required authorisation and owns a mobile testing lab for low and high voltage equipment. Customers can bring the equipment in person, or the company collects it by courier and returns it after testing.

Customers include industrial companies, operators of switchgear and transformer stations, substation manufacturers and energy companies, as well as service firms responsible for substation maintenance, institutions and individuals. Transformer stations are part of virtually every factory, industrial site and housing estate, so demand is widely spread. Customers find the company themselves, the business is built on a good reputation and long-standing relationships, and revenue does not depend on any dominant customer. According to the owners, the company has only one direct competitor on the Slovak market.

Revenue of both companies has been growing steadily. In 2025 they jointly reached 607 ths. EUR with normalised EBITDA of 78 ths. EUR, and for 2026 revenue of 684 ths. EUR and normalised EBITDA of 108 ths. EUR are expected. Normalised EBITDA already reflects a market salary for the owners’ work, which the buyer will need to replace after their departure. Reported profitability corresponds to actual profitability. The companies have only low bank loans of approx. EUR 50 thousand (a car loan and two consumer loans), and the overdraft facility is undrawn.

The sale includes an own warehouse with a testing lab in the Nitra region, from which both dispatch and testing operations are run, as well as the mobile testing lab, a company car and stock of goods. The company is currently having its own application developed to simplify test preparation, which will further reduce the administrative workload.

The reason for the sale is the owners’ lack of capacity, as they can no longer keep up with the volume of work. Both owners currently handle the running of the company, preparation of quotes, customers’ technical questions, preparation of test documentation and dispatch. After the transfer they are ready to train the new owner and will then leave the company.

The offer is not suitable for a first-time entrepreneur. The ideal buyer is an established company with a well-functioning administration, for example from electrical installation, electrical inspections, maintenance of energy equipment or distribution of electrical materials, for which the acquisition will be a natural extension of its portfolio with stable recurring services and which can capture the potential for further growth.

Frequently asked questions

What is a non-disclosure agreement (NDA) and why do you need it?

The sale of a company is highly confidential. Employees, customers and business partners are often unaware that the company is for sale, and premature disclosure could harm the business. Before sharing detailed information, we therefore need to be sure it will be treated confidentially, and that is exactly what the non-disclosure agreement (NDA) is for. You usually sign it only once, it covers all InBase listings, and you can sign it electronically via SignWell in a few minutes.

What do I receive after signing the NDA?

We will send you an identified profile of the company, that is, the company name, a detailed description of its operations, customers and team, and detailed financial results. On request, we will gladly provide further materials for assessing the opportunity. If your interest continues after reviewing the identified information, the next step is usually a meeting with the owner, which we will arrange.

How quickly will I receive the detailed information?

After you submit your inquiry, we will usually get back to you within the next business day and send you the NDA to sign. For some listings we first briefly confirm with the owner that we may proceed, but even then it is typically a matter of days, not weeks.

Why do we ask about your intent and financing?

We guarantee owners that sensitive information reaches serious buyers only. Before identification we may therefore ask about your motivation, intent and the planned financing of the transaction. Unfortunately, we will not be able to provide specific information to interested parties who cannot demonstrate that at least part of the purchase price is covered by their own funds, as the financing would then be unrealistic.

Do I pay any commission as a buyer?

No. If you choose a company from our listings, you as the buyer pay us no commission for the intermediation. Our fee is paid exclusively by the seller.
